COMMERCIAL LICENSING AGREEMENT AND TERMS OF USE

This Commercial Licensing Agreement and Terms of Use ("Agreement") governs the purchase of, access to, and use of eligible Cruise Maniac LLC commercial operating systems and their associated proprietary materials.
This Agreement is between Cruise Maniac LLC, a Texas limited liability company ("Cruise Maniac," "we," "us," or "our"), and the individual or business purchasing the applicable commercial license ("Customer," "you," or "your").
By purchasing a commercial license, selecting the applicable checkout acceptance box, accessing a protected workspace, downloading or accessing Licensed Materials, or otherwise using a Licensed System, you acknowledge that you have read, understood, and agreed to this Agreement.
1. Licensed Systems Covered by This Agreement
This Agreement applies to the following Cruise Maniac commercial licensing products:
- Travel Advisor Operating System
- Capacity Control System
- Professional Fee System
- Revenue Control System
Each of these products is proprietary commercial business infrastructure developed for professional travel advisors and related authorized business users.
Each Licensed System has its own stated purpose, scope, Licensed Materials, implementation requirements, and protected customer workspace.
These Licensed Systems are not customer relationship management platforms, booking engines, host agencies, travel agencies, lead-generation services, certification programs, supplier-training programs, legal services, accounting services, financial-advisory services, or guarantees of business performance.
Products Not Governed by This Agreement
This Agreement does not govern recurring Cruise Maniac subscription services, including Cruise Maniac Operating Intelligence, the Intelligence Library, the Intelligence Workspace, or other subscription or software services that are expressly governed by separate terms.
If Cruise Maniac introduces additional products or software services, the terms displayed or accepted in connection with those products will determine whether this Agreement applies.
2. Definitions
For purposes of this Agreement:
"Licensed System" means the applicable Cruise Maniac commercial operating system purchased by the Customer together with its proprietary methodology, structure, processes, documentation, tools, implementation resources, and associated materials.
"Licensed Workspace" means any protected online customer area associated with a Licensed System through which the Customer may access Licensed Materials during the active License Term.
"Licensed Materials" means documents, manuals, guides, workbooks, dashboards, worksheets, calculators, decision tools, scripts, templates, communication materials, checklists, implementation resources, specifications, examples, updates, downloadable files, and other proprietary content supplied as part of a Licensed System.
"Named User" means the single individual identified in the applicable customer, order, licensing, or access record and authorized to use the Licensed System.
"License Record" means the record maintained through Cruise Maniac's customer, checkout, order, membership, licensing, or access systems identifying information such as the Customer, Named User, Licensed System, transaction, activation date, and access-expiration date.
"License Term" means one fixed period of 365 days beginning when Cruise Maniac activates or otherwise makes the applicable Licensed System, Licensed Workspace, or Licensed Materials available to the Customer.
3. Professional and Business Eligibility
Licensed Systems are offered for legitimate professional and commercial business use.
By purchasing a Licensed System, you represent that:
- You are at least eighteen (18) years old;
- You are purchasing for legitimate professional or business purposes;
- Information submitted during checkout is accurate and complete;
- You have legal authority to enter into this Agreement; and
- If you purchase on behalf of a business, you have authority to bind that business to this Agreement.
Purchase does not require a separate application, consultation, interview, or manual approval unless Cruise Maniac expressly states otherwise.
Cruise Maniac may withhold, delay, suspend, or terminate access when payment fails, fraud is reasonably suspected, materially inaccurate information is provided, applicable law prohibits the transaction, or use would violate this Agreement.
4. Commercial License Grant
Subject to successful payment and continued compliance with this Agreement, Cruise Maniac grants the Named User a limited, nonexclusive, nontransferable, non-sublicensable commercial license to access and use the applicable Licensed System and Licensed Materials during the active License Term.
The commercial license permits the Named User to:
- Access the applicable Licensed Workspace during the License Term;
- Use the Licensed System within the Named User's own authorized professional travel business;
- Complete and configure worksheets, workbooks, calculators, decision tools, and implementation resources for that business;
- Apply Cruise Maniac methodologies and operating processes within that business;
- Use customer-facing materials only when Cruise Maniac expressly identifies them as materials intended for authorized customer-facing implementation;
- Maintain ordinary business records lawfully created through authorized use of the Licensed System; and
- Download materials expressly made available for download during the active License Term.
The purchase price pays for the limited license described in this Agreement. It does not transfer ownership of the Licensed System, Cruise Maniac methodologies, Licensed Materials, software, content, or intellectual property.
5. One Named User Per License
Each commercial license authorizes use by one Named User unless Cruise Maniac expressly provides different rights in writing.
A commercial license may not be:
- Shared with another travel advisor;
- Used as an agency-wide or multi-user license;
- Transferred to another individual or business;
- Sublicensed;
- Resold;
- Assigned;
- Posted to a shared internal library or shared drive;
- Distributed to a host agency, consortium, network, team, contractor, employee, affiliate, or other third party; or
- Accessed through shared login credentials or unauthorized account access.
Each additional user requires a separate applicable license unless Cruise Maniac expressly authorizes additional use through a separate written agreement.
6. Fixed 365-Day License Term
Each commercial License Term is one fixed period of 365 days.
The License Term begins when the applicable Licensed Workspace, Licensed Materials, or other licensed access is activated or otherwise made available to the Customer, as reflected in Cruise Maniac's License Record.
The commercial license:
- Is not a subscription;
- Does not renew automatically;
- Does not include recurring billing; and
- Does not authorize Cruise Maniac to automatically charge the Customer for another License Term.
If the Customer wants another License Term after expiration, the Customer must voluntarily complete a new purchase at the price and under the terms offered at that time.
Cruise Maniac may send expiration or repurchase reminders as a courtesy but does not guarantee that any reminder will be received.
7. Price, Promotions, Payment, and Taxes
The price governing a purchase is the price displayed on the applicable Cruise Maniac product page and checkout at the time the order is completed.
Cruise Maniac may offer founding prices, promotional prices, coupon codes, limited enrollment opportunities, or other prospective offers. Unless expressly stated otherwise, such offers do not create a right to the same pricing on future purchases or future License Terms.
The Customer is responsible for:
- Providing valid and authorized payment information;
- Paying the applicable purchase price;
- Paying applicable sales, use, transaction, or other taxes where required by law;
- Providing accurate billing and location information reasonably necessary to calculate applicable taxes; and
- Maintaining accurate order and customer-account information.
Cruise Maniac may use third-party checkout, payment-processing, fraud, billing, or tax-service providers to complete transactions.
Access may be delayed or withheld if payment is declined, reversed, disputed, charged back, determined to be fraudulent, or otherwise not successfully completed.
8. Digital Delivery and Activation
Licensed Systems are delivered digitally.
Following successful purchase, the Customer may receive:
- Customer-account or access instructions;
- Access to a protected Licensed Workspace;
- Licensed downloads and digital files;
- Implementation resources;
- Workbooks, decision tools, templates, or related materials;
- A license record or licensing identifier; and
- Other resources included with the applicable Licensed System.
Digital delivery is considered made when the applicable account, workspace, download, access link, or Licensed Materials are made available to the Customer.
The Customer is responsible for maintaining a compatible device, internet connection, functioning email address, secure login credentials, and the ability to open ordinary digital file formats used by the Licensed System.
9. Final Sale and Refund Policy
Except where applicable law requires otherwise, purchases of Licensed Systems are final after digital access or Licensed Materials are made available.
Because a purchase provides access to proprietary digital content, commercial methodologies, licensed intellectual property, downloadable materials, and protected resources, Cruise Maniac does not ordinarily provide refunds, credits, exchanges, or prorated refunds after delivery or activation.
A refund is not ordinarily available because a Customer:
- Changes their mind;
- Does not use the Licensed System;
- Does not complete implementation;
- Does not achieve a desired result;
- Determines after purchase that the system is not suitable;
- Fails to review product descriptions, scope information, FAQs, previews, checkout disclosures, or licensing terms;
- Lacks suitable technology or internet access;
- Loses access because of a violation of this Agreement; or
- Allows the License Term to expire.
Nothing in this Agreement limits a refund, remedy, cancellation right, or other protection that cannot lawfully be waived.
10. Self-Service Implementation
Cruise Maniac Licensed Systems are designed primarily for self-service business implementation unless the applicable product description expressly states otherwise.
The Customer is responsible for reviewing the materials, completing the applicable decisions and tools, and implementing the system appropriately within the Customer's own business.
Unless specifically included in a product description, a commercial license does not include:
- Coaching;
- Business consulting;
- Legal advice;
- Tax advice;
- Accounting advice;
- Financial advice;
- Insurance advice;
- Employment advice;
- Personalized implementation;
- Done-for-you business setup;
- Custom workflow development;
- Client acquisition;
- Sales representation;
- Supplier representation;
- Host-agency representation; or
- Individual review of the Customer's client or business decisions.
11. Technical Support Boundaries
Cruise Maniac may provide reasonable support for unresolved technical or access matters involving:
- Checkout;
- Customer accounts;
- License records;
- Workspace access;
- Downloads;
- Digital delivery;
- Access permissions; and
- Technical functionality of Cruise Maniac-provided resources.
Customers should review available instructions, FAQs, manuals, and troubleshooting resources before requesting support.
Support does not include personalized coaching, strategic consulting, custom implementation, document customization, legal interpretation, financial analysis, supplier advice, host-agency advice, or analysis of an individual traveler or client situation.
Cruise Maniac does not guarantee immediate response times or uninterrupted support availability.
12. Customer Responsibilities
The Customer remains solely responsible for:
- Reviewing Licensed Materials before implementation;
- Determining whether a Licensed System is appropriate for the Customer's business;
- Configuring and applying the Licensed System appropriately;
- Making independent professional and commercial decisions;
- Complying with applicable laws, regulations, contracts, professional obligations, supplier requirements, host-agency requirements, consortium requirements, processor rules, and other obligations;
- Protecting traveler, client, employee, and business information;
- Maintaining appropriate business and transaction records;
- Protecting account credentials and access information;
- Protecting downloaded Licensed Materials;
- Reviewing customer-facing materials before using them in the Customer's business; and
- Ensuring that representations made to travelers, customers, suppliers, or third parties are accurate and appropriate.
13. Independent Professional Judgment and Authority
Cruise Maniac products are designed to support structured business operations and documented decision-making. They do not replace the Customer's independent professional judgment.
Cruise Maniac materials do not override or replace:
- Applicable law or regulation;
- A signed contract or governing agreement;
- Official government guidance;
- Supplier rules, policies, contracts, or booking terms;
- Host-agency or consortium requirements;
- Payment-processor requirements;
- Insurance requirements;
- Professional association requirements; or
- Advice from a qualified legal, tax, accounting, financial, insurance, employment, privacy, or other professional.
When a matter requires specialized professional advice or authoritative interpretation, the Customer is responsible for obtaining that advice or confirming the applicable source before acting.
14. Intellectual Property Ownership
Cruise Maniac retains all right, title, and interest in and to its intellectual property.
Protected intellectual property may include:
- Product names and branding;
- Copyrighted content;
- Trademarks and service marks;
- Trade dress;
- Business methodologies;
- Operational frameworks;
- Decision structures;
- Workflows;
- Calculators and calculation methods;
- Dashboards;
- Worksheets and workbooks;
- Templates and scripts;
- Documentation;
- Designs;
- Software interfaces and functionality;
- Implementation methods;
- Research structures;
- Communication frameworks;
- Updates and revisions; and
- Derivative works created by Cruise Maniac.
Purchase of a Licensed System does not transfer intellectual-property ownership to the Customer.
15. Prohibited Uses
Except where expressly authorized in writing, the Customer may not:
- Copy or reproduce Licensed Materials for distribution;
- Publish or publicly display Licensed Materials;
- Share Licensed Materials with another advisor or business;
- Sell, sublicense, rent, transfer, or distribute Licensed Materials;
- Upload Licensed Materials to a shared course, membership, marketplace, or resource library;
- Create competing commercial products from Licensed Materials;
- Remove copyright, trademark, ownership, or proprietary notices;
- Misrepresent Cruise Maniac materials as the Customer's original intellectual property;
- Reverse engineer, decompile, reconstruct, or systematically extract protected functionality;
- Use Cruise Maniac branding in a way that suggests an unauthorized partnership or endorsement;
- Use credentials to permit unauthorized access;
- Circumvent membership, licensing, download, or technical access controls;
- Scrape or systematically extract protected workspace content;
- Use Licensed Materials to train, build, benchmark, or improve a competing commercial product, AI system, model, dataset, or service; or
- Use the Licensed System for unlawful, fraudulent, deceptive, infringing, or abusive activity.
16. Artificial Intelligence and Automated Systems
Licensed Materials may not be uploaded, submitted, copied, transmitted, or otherwise provided to public or shared artificial intelligence systems for the purpose of training, reproducing, reverse engineering, extracting, or creating competing commercial products from Cruise Maniac intellectual property.
A Customer may use ordinary technology or AI tools in the Customer's own business only to the extent such use does not disclose protected Cruise Maniac content to unauthorized parties, violate this Agreement, violate applicable law, compromise traveler or business data, or create an unauthorized derivative commercial product.
The Customer remains responsible for independently reviewing AI-generated output and for all decisions made using such output.
17. Confidential and Proprietary Materials
Licensed Systems may contain proprietary commercial information that is not intended for public distribution.
The Customer agrees to use reasonable care to protect Licensed Materials, protected workspaces, access credentials, proprietary methodologies, and non-public business resources from unauthorized access, copying, disclosure, or distribution.
If the Customer becomes aware of unauthorized access, sharing, copying, or disclosure, the Customer should notify Cruise Maniac promptly.
18. No Guaranteed Results
Cruise Maniac does not guarantee:
- Increased revenue;
- Increased profitability;
- Additional bookings;
- Improved conversion rates;
- Reduced operating expenses;
- Reduced liability;
- Specific time savings;
- Improved client quality;
- Successful implementation;
- Regulatory or contractual compliance; or
- Any specific business, financial, legal, or commercial result.
Results depend on circumstances outside Cruise Maniac's control, including implementation, consistent use, professional judgment, pricing, market conditions, business experience, customer demand, supplier performance, service quality, technology, third-party conduct, and the Customer's existing operations.
Testimonials, examples, illustrations, scenarios, calculations, and case examples are informational and do not constitute promises or guarantees of future performance.
19. Professional, Legal, Financial, and Regulatory Disclaimer
Licensed Systems provide operational business materials, structured decision tools, implementation resources, and general commercial information.
Cruise Maniac is not acting as the Customer's attorney, accountant, financial advisor, tax advisor, insurance advisor, employment advisor, compliance officer, privacy professional, or other licensed professional.
Licensed Materials do not constitute individualized legal, tax, accounting, financial, employment, insurance, regulatory, or compliance advice.
The Customer is responsible for obtaining advice from appropriately qualified professionals concerning the Customer's particular facts, location, contracts, clients, workforce, business structure, or legal obligations.
20. Third-Party Services and Technology
Access to or use of a Licensed System may depend on third-party technology or service providers, including website hosting, payment processing, checkout systems, membership technology, email delivery, security services, analytics, cloud infrastructure, file delivery, plugins, or other software platforms.
Cruise Maniac does not control third-party providers and does not guarantee their continuous availability, accessibility, security, compatibility, performance, policies, or error-free operation.
Temporary third-party outages or changes may affect access to a Licensed Workspace or feature.
Customers may also be subject to separate terms and privacy policies imposed by applicable third-party providers.
21. Product Updates and Modifications
During an active License Term, Cruise Maniac may release corrections, clarifications, replacements, revised materials, security changes, technical changes, or other updates.
Cruise Maniac may modify the presentation, organization, technology, delivery method, customer interface, workspace structure, or file format of a Licensed System when reasonably necessary to:
- Maintain functionality;
- Improve usability or accessibility;
- Improve security;
- Correct errors;
- Clarify instructions;
- Reflect changes in business practices;
- Address changed third-party technology;
- Address legal or regulatory requirements; or
- Improve product delivery.
Cruise Maniac is not required to develop any particular future feature, resource, integration, or update.
An update does not extend the License Term unless Cruise Maniac expressly states otherwise in writing.
22. Account Security and Unauthorized Access
The Customer is responsible for maintaining the confidentiality of all usernames, passwords, account credentials, access links, downloads, and other access information associated with the Licensed System.
The Customer may not intentionally permit another person to access a Licensed System using the Customer's credentials.
Cruise Maniac may use commercially reasonable account, access, transaction, download, device, or security records to investigate suspected unauthorized use, fraud, account sharing, or violations of this Agreement, subject to its Privacy Policy and applicable law.
Suspected unauthorized access should be reported promptly to Cruise Maniac.
23. Suspension and Termination
Cruise Maniac may suspend or terminate licensed access when:
- Payment is reversed, disputed, or charged back;
- Fraud or unauthorized payment is reasonably suspected;
- Credentials or Licensed Materials are shared without authorization;
- The Customer copies, distributes, sells, or publicly discloses protected materials;
- The Customer misuses Cruise Maniac intellectual property;
- The Customer attempts to circumvent technical access controls;
- The Customer violates this Agreement;
- The Customer engages in fraudulent, abusive, unlawful, deceptive, or harmful conduct; or
- Continued access creates a material legal, security, platform, or intellectual-property risk.
When reasonably appropriate, Cruise Maniac may provide notice and an opportunity to correct a violation. Immediate suspension or termination may occur when reasonably necessary to protect Cruise Maniac, its customers, its systems, its intellectual property, or third parties.
Termination resulting from a Customer's breach does not create a right to a refund except where applicable law requires otherwise.
24. Expiration and Effect of Termination
When the License Term expires or licensed access is lawfully terminated:
- Access to the Licensed Workspace may end;
- Access to protected online materials may end;
- Future updates and replacement resources may no longer be available;
- The Customer must stop representing that an expired license remains active; and
- Restrictions protecting Cruise Maniac intellectual property continue to apply.
Cruise Maniac recognizes that digital files properly downloaded during an active License Term cannot necessarily be technically recalled from a Customer's device.
However, expiration of online access does not convert downloaded Cruise Maniac intellectual property into unrestricted property of the Customer. Ownership, confidentiality, non-distribution, non-transfer, and other applicable intellectual-property restrictions survive expiration or termination.
Ordinary business records lawfully created by the Customer through proper implementation of a Licensed System may be retained as the Customer's business records, provided those records do not reproduce or redistribute Cruise Maniac proprietary materials beyond the authorized license.
25. Disclaimer of Warranties
To the maximum extent permitted by applicable law, Licensed Systems and Licensed Materials are provided on an "as available" basis for professional business use.
Except for obligations that cannot lawfully be disclaimed, Cruise Maniac does not warrant that:
- Every Licensed System will meet every Customer's particular business needs;
- Access will always be uninterrupted or error-free;
- Every third-party platform will remain available or compatible;
- Every calculation or tool will be appropriate for every factual situation;
- Use will produce a particular financial or business outcome; or
- Use alone will establish compliance with every law, contract, supplier requirement, host requirement, or professional obligation.
26. Limitation of Liability
To the maximum extent permitted by applicable law, Cruise Maniac LLC and its owners, officers, employees, contractors, affiliates, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or relating to a Licensed System, including lost profits, lost revenue, lost business opportunities, lost data, client claims, supplier disputes, business interruption, or reputational loss.
To the maximum extent permitted by applicable law, Cruise Maniac's aggregate liability arising from or relating to a particular Licensed System will not exceed the amount actually paid by the Customer to Cruise Maniac for that Licensed System giving rise to the claim.
Nothing in this section excludes or limits liability to the extent such liability cannot lawfully be excluded or limited.
27. Indemnification
To the extent permitted by applicable law, the Customer agrees to defend, indemnify, and hold harmless Cruise Maniac LLC and its owners, officers, employees, contractors, and affiliates from third-party claims, losses, liabilities, damages, judgments, and reasonable expenses arising from:
- The Customer's unlawful use of a Licensed System;
- The Customer's breach of this Agreement;
- Unauthorized sharing or distribution of Licensed Materials;
- The Customer's representations to clients or third parties;
- The Customer's business decisions or implementation choices;
- The Customer's failure to comply with applicable professional, contractual, supplier, host-agency, or legal obligations; or
- The Customer's infringement or violation of third-party rights.
This provision does not require indemnification for liability that cannot lawfully be shifted to the Customer.
28. Force Majeure and Events Outside Reasonable Control
Cruise Maniac will not be responsible for delay or failure caused by events outside its reasonable control, including internet outages, hosting failures, payment-provider interruptions, cloud-service failures, cybersecurity incidents not caused by Cruise Maniac's willful misconduct, power outages, natural disasters, governmental actions, labor disruptions, communications failures, widespread technology failures, or other comparable events beyond reasonable control.
Cruise Maniac will use commercially reasonable efforts to restore affected services where appropriate.
29. Privacy and Data Practices
Personal information associated with customer accounts, purchases, licensing, workspace access, security, and support is handled in accordance with the Cruise Maniac Privacy Policy and applicable law.
The Customer is separately responsible for protecting personal, confidential, traveler, client, employee, and business information entered into customer-controlled documents, workbooks, systems, or third-party services.
Customers should not enter sensitive information into a Cruise Maniac tool, form, AI workflow, or third-party platform unless the applicable use is appropriate, authorized, and consistent with the Customer's own legal and privacy obligations.
30. Electronic Acceptance and Records
The parties agree that this Agreement may be accepted electronically.
Electronic acceptance may include selecting an agreement checkbox, completing checkout after being presented with applicable terms, creating or accessing a licensed account, or otherwise electronically indicating assent where permitted by law.
Cruise Maniac may maintain electronic records of acceptance, purchase, payment, license activation, access, downloads, communications, and related transaction information.
Electronic records and copies may be used to evidence the transaction and applicable agreement to the extent permitted by law.
31. Changes to This Agreement
Cruise Maniac may update this Agreement prospectively to reflect changes in products, licensing practices, technology, legal requirements, security, delivery methods, or business operations.
The version accepted at the time of purchase generally governs that purchase unless:
- The parties agree to different terms;
- A change is required by applicable law;
- A change is necessary to address fraud, security, or misuse; or
- The applicable product terms expressly provide otherwise.
The "Last Updated" date identifies the current published version.
32. Governing Law
This Agreement is governed by the laws of the State of Texas, without regard to conflict-of-law principles, except to the extent another law must apply and cannot lawfully be waived.
Any dispute concerning this Agreement will be brought in a court with appropriate jurisdiction unless the parties separately agree to another lawful dispute-resolution procedure.
33. Severability
If any provision of this Agreement is determined to be invalid, unenforceable, or unlawful, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in effect.
34. Waiver
Failure by Cruise Maniac to enforce a provision of this Agreement does not waive that provision or any other provision.
A waiver is effective only when made in writing by an authorized representative of Cruise Maniac LLC.
35. Assignment
The Customer may not assign or transfer this Agreement, the Licensed System, the License Term, or the Customer's license rights without Cruise Maniac's prior written consent.
Cruise Maniac may assign this Agreement in connection with a merger, acquisition, reorganization, financing, transfer of assets, sale of the business, or similar transaction, subject to applicable law.
36. Entire Agreement and Order of Documents
This Agreement, together with the applicable product page, checkout disclosures, Privacy Policy, Website Terms & Conditions, and any expressly incorporated product-specific terms, constitutes the agreement governing the applicable commercial license.
If there is a direct conflict concerning a specific purchase, the following order generally applies:
- Any separately signed written agreement specific to that Customer;
- The applicable checkout terms and product-specific licensing terms;
- This Commercial Licensing Agreement and Terms of Use; and
- The general Website Terms & Conditions.
Subscription services governed by separate subscription terms are not converted into commercial licenses by this Agreement.
37. Survival
Provisions concerning intellectual property, prohibited use, confidentiality, payment obligations, disclaimers, limitation of liability, indemnification, governing law, and other provisions that by their nature should continue will survive expiration or termination of the License Term.
