CRUISE MANIAC OPERATING INTELLIGENCE END USER SUBSCRIPTION LICENSE

This Cruise Maniac Operating Intelligence End User Subscription License ("EUSL") governs access to and use of proprietary subscriber materials, digital resources, interactive software, protected workspaces, and related intellectual property provided through Cruise Maniac Operating Intelligence.
This EUSL is between Cruise Maniac LLC, a Texas limited liability company ("Cruise Maniac," "we," "us," or "our"), and the individual or business maintaining the applicable subscription ("Subscriber," "you," or "your").
By completing an applicable subscription purchase, accepting this EUSL electronically, accessing subscriber materials, downloading protected resources, accessing the Intelligence Library, accessing the Intelligence Workspace, or otherwise using Cruise Maniac Operating Intelligence, you acknowledge that you have read, understood, and agreed to this EUSL.
1. Services Covered by This EUSL
This EUSL applies to proprietary materials and functionality provided through Cruise Maniac Operating Intelligence, including:
- Intelligence Library; and
- Intelligence Workspace.
The Intelligence Library generally provides protected access to recurring operating-intelligence resources and downloadable materials.
The Intelligence Workspace includes Intelligence Library access together with interactive software functionality that may include:
- Interactive decision tools;
- Private saved working records;
- Guided operating workflows;
- Implementation tracking;
- Deadline tracking;
- Persistent subscriber-workspace functionality; and
- Other interactive functionality made available by Cruise Maniac.
The specific features available to a Subscriber depend on the plan purchased and the features made available during the active subscription period.
2. Definitions
For purposes of this EUSL:
"Operating Intelligence" means the Cruise Maniac recurring operating-intelligence and decision-support subscription service.
"Subscriber Materials" means proprietary content, publications, downloads, workbooks, source ledgers, decision tools, templates, scripts, checklists, standards, guides, implementation materials, software resources, and other content made available through an active Operating Intelligence subscription.
"Subscription Software" means interactive software, decision tools, workspace functionality, dashboards, saved-record functionality, implementation tracking, guided workflows, interfaces, databases, or other software functionality provided through the Intelligence Workspace.
"Authorized Subscriber" means the individual associated with the applicable subscription account and authorized to use the applicable subscriber materials and services.
"Subscriber Records" means business information, decisions, notes, status information, implementation records, deadlines, working records, or other user-entered information created or maintained by an Authorized Subscriber through applicable Workspace functionality.
"Subscription Period" means a period for which the applicable subscription has been successfully paid and remains active.
3. Limited Subscription License
Subject to successful payment and continued compliance with this EUSL and the applicable Subscription Terms and Conditions, Cruise Maniac grants the Authorized Subscriber a limited, nonexclusive, nontransferable, non-sublicensable, revocable license to access and use the applicable Operating Intelligence materials and functionality during the active Subscription Period.
This license permits the Authorized Subscriber to:
- Access the subscribed Intelligence Library or Intelligence Workspace;
- Review Subscriber Materials for the Subscriber's own professional business use;
- Download materials expressly made available for download;
- Complete editable workbooks, worksheets, decision tools, and implementation resources;
- Use expressly authorized templates and scripts within the Subscriber's own business;
- Apply Cruise Maniac operating frameworks and decision processes within the Subscriber's own business;
- Create Subscriber Records using authorized Workspace functionality;
- Use interactive software for legitimate internal professional purposes; and
- Retain ordinary business records lawfully created through authorized use.
The subscription provides limited access and use rights only.
No ownership interest in Cruise Maniac intellectual property is transferred to the Subscriber.
4. One Authorized Subscriber Per Individual Subscription
Unless Cruise Maniac expressly offers a separate multi-user or enterprise arrangement, each individual subscription is licensed to one Authorized Subscriber.
An individual subscription may not be:
- Shared with another travel advisor;
- Shared with another business;
- Used as an agency-wide subscription;
- Used by multiple employees or contractors;
- Transferred;
- Assigned;
- Resold;
- Rented;
- Leased;
- Sublicensed; or
- Accessed through shared credentials.
Each individual requiring access must maintain an applicable authorized subscription unless Cruise Maniac expressly provides different rights in a separate written agreement.
5. Subscriber Materials
Subscriber Materials may include, where applicable:
- Operating-intelligence releases;
- Executive operating briefs;
- Evidence and source ledgers;
- Decision workbooks;
- Commercial decision tools;
- Operating standards;
- Standard operating procedure updates;
- Implementation guides;
- Worksheets;
- Checklists;
- Scripts;
- Templates;
- Calculation tools;
- Decision frameworks;
- Research resources;
- Source references;
- AI workflow guidance;
- Subscriber notices;
- Corrections and replacement materials;
- Downloadable documents;
- Interactive software resources; and
- Other proprietary materials released through Operating Intelligence.
Cruise Maniac may improve, revise, reorganize, correct, replace, expand, or retire individual Subscriber Materials as the service evolves.
6. Permitted Internal Business Use
Subscriber Materials may be used by the Authorized Subscriber within the Subscriber's own professional business for legitimate internal operating, planning, decision-making, documentation, implementation, and management purposes.
Where a particular Cruise Maniac resource is expressly identified as customer-facing or intended for business-specific adaptation, the Authorized Subscriber may configure that resource for use in the Subscriber's own business.
Permitted customization does not transfer ownership of the underlying Cruise Maniac methodology, structure, framework, template, design, calculation logic, or intellectual property.
7. Prohibited Uses
Except where Cruise Maniac expressly authorizes otherwise in writing, the Subscriber may not:
- Copy Subscriber Materials for distribution;
- Redistribute Subscriber Materials;
- Publish Subscriber Materials;
- Publicly display Subscriber Materials;
- Sell Subscriber Materials;
- License Subscriber Materials;
- Sublicense Subscriber Materials;
- Transfer Subscriber Materials;
- Rent or lease Subscriber Materials;
- Provide Subscriber Materials to another advisor or business;
- Upload Subscriber Materials to a shared drive accessible by unauthorized users;
- Upload Subscriber Materials to template libraries;
- Upload Subscriber Materials to memberships or courses;
- Upload Subscriber Materials to public repositories;
- Use Subscriber Materials to create competing commercial products;
- Use Subscriber Materials to create substantially similar products for resale;
- Remove Cruise Maniac copyright, ownership, attribution, or proprietary notices;
- Claim Cruise Maniac materials as the Subscriber's original intellectual property;
- Share subscription credentials;
- Circumvent subscription-access controls;
- Circumvent technical protections;
- Scrape protected subscriber content;
- Systematically extract protected content;
- Access another subscriber's records or account without authorization;
- Use automated systems to obtain unauthorized access;
- Interfere with the operation or security of the service;
- Use the service for fraudulent or unlawful activity; or
- Use Subscriber Materials in a manner inconsistent with this EUSL.
8. Software Restrictions
The Intelligence Workspace may contain proprietary Subscription Software, interfaces, databases, software logic, decision logic, scoring structures, workflows, calculations, and other protected technical functionality.
Except where applicable law provides a non-waivable right, the Subscriber may not:
- Reverse engineer Subscription Software;
- Decompile Subscription Software;
- Disassemble Subscription Software;
- Attempt to derive source code;
- Attempt to reconstruct proprietary decision logic;
- Extract proprietary databases or structured content;
- Copy software interfaces for a competing product;
- Probe protected systems for unauthorized purposes;
- Circumvent access or security controls;
- Use bots or automated tools to extract protected software content;
- Benchmark the service for the purpose of building a competing commercial product;
- Resell access to Subscription Software; or
- Provide unauthorized third-party access.
9. Artificial Intelligence Restrictions
Cruise Maniac Subscriber Materials and proprietary software outputs may not be used to train, develop, reproduce, or improve a competing artificial intelligence system, dataset, model, service, or commercial product.
Except where Cruise Maniac expressly authorizes otherwise, Subscriber Materials may not be:
- Uploaded to public AI training datasets;
- Uploaded to shared machine-learning repositories;
- Used to train a commercial AI model;
- Used to fine-tune a competing commercial AI service;
- Used to create substantially similar commercial materials;
- Used to reproduce Cruise Maniac methodologies through automated systems;
- Distributed through public automated systems;
- Published for machine-learning purposes; or
- Used to commercially exploit Cruise Maniac intellectual property through AI technologies.
An Authorized Subscriber may use ordinary private AI tools as part of the Subscriber's own business workflow only when doing so:
- Does not disclose Cruise Maniac protected content to unauthorized parties;
- Does not violate the applicable AI provider's terms;
- Does not expose confidential, traveler, or sensitive information improperly;
- Does not create a competing commercial product;
- Does not violate applicable law; and
- Remains consistent with this EUSL and applicable Cruise Maniac guidance.
The Subscriber is responsible for reviewing AI-generated output before relying on it for professional or business purposes.
10. Cruise Maniac Intellectual Property
Cruise Maniac retains all right, title, and interest in and to its intellectual property.
Protected intellectual property may include:
- Operating Intelligence content;
- Subscriber Materials;
- Subscription Software;
- Research structures;
- Evidence frameworks;
- Operating methodologies;
- Decision frameworks;
- Decision logic;
- Scoring models;
- Calculators;
- Workbooks;
- Operating standards;
- Implementation methods;
- Workflows;
- Scripts;
- Templates;
- Documentation;
- Interfaces;
- Software functionality;
- Database structures;
- Designs;
- Branding;
- Website content;
- Corrections and revisions; and
- Derivative works created by Cruise Maniac.
Payment of a subscription fee does not constitute a sale or transfer of Cruise Maniac intellectual property.
11. Third-Party Source Materials
Operating Intelligence may reference, summarize, link to, analyze, or discuss information produced by governments, suppliers, host agencies, technology providers, payment providers, industry organizations, professional organizations, publications, or other third parties.
Third-party materials remain subject to the intellectual-property rights, licenses, terms, and restrictions of their respective owners.
Cruise Maniac does not transfer ownership of third-party intellectual property to Subscribers.
Links or citations to third-party sources do not imply ownership, endorsement, sponsorship, partnership, or control.
12. Source Verification and Changing Information
Operating Intelligence addresses information that may change over time.
Supplier policies, host-agency terms, technology features, payment practices, laws, regulations, business practices, professional standards, product availability, pricing, security practices, and other external conditions may change after a Cruise Maniac resource is published.
Subscribers are responsible for confirming consequential information with the applicable authoritative source before acting where verification is appropriate.
Cruise Maniac may issue corrections, updates, replacement materials, revised standards, or other notices when information materially changes or an error is identified.
13. Subscriber Records
Intelligence Workspace functionality may allow Authorized Subscribers to create or maintain Subscriber Records.
Subscriber Records may include:
- Business decisions;
- Implementation notes;
- Working observations;
- Assigned actions;
- Status information;
- Deadlines;
- Decision-tool responses;
- Implementation records; and
- Other business information intentionally entered by the Subscriber.
As between Cruise Maniac and the Subscriber, the Subscriber retains responsibility for the Subscriber's own business information entered into the Workspace.
Cruise Maniac does not acquire ownership of the Subscriber's independent business facts, decisions, or records merely because the Subscriber enters them into an authorized Workspace.
14. License to Process Subscriber Records
By entering Subscriber Records into the Intelligence Workspace, the Subscriber grants Cruise Maniac and its authorized service providers a limited right to host, store, transmit, reproduce, process, back up, and display those records solely as reasonably necessary to:
- Provide the requested Workspace functionality;
- Maintain account access;
- Save Subscriber Records;
- Provide software functions requested by the Subscriber;
- Maintain backups;
- Maintain security;
- Prevent fraud or abuse;
- Troubleshoot technical problems;
- Provide authorized support;
- Comply with legal obligations; and
- Administer the Subscriber's subscription.
This limited processing right ends when the applicable processing is no longer reasonably necessary, subject to lawful retention, backups, security records, dispute records, and other retention described in the Privacy Policy.
15. Subscriber Responsibility for Entered Information
The Subscriber is responsible for information entered into the Intelligence Workspace.
The Subscriber represents that:
- The Subscriber has appropriate authority to submit the information;
- The information is not submitted for an unlawful purpose;
- The submission does not knowingly infringe another party's rights;
- The Subscriber will comply with applicable privacy and confidentiality obligations; and
- The Subscriber will avoid entering unnecessary sensitive information.
16. Sensitive Information Restrictions
Unless Cruise Maniac expressly provides a specific feature designed to receive such information, Subscribers should not enter or upload unnecessary sensitive information into the Intelligence Workspace.
This includes:
- Complete payment-card information;
- Bank-account credentials;
- Passwords;
- Social Security numbers;
- Passport numbers or passport images;
- Government identification documents;
- Medical or health information;
- Biometric information;
- Unnecessary traveler-sensitive information; or
- Other highly sensitive personal information unrelated to the intended operating purpose.
17. Subscriber Record Security
Cruise Maniac may use commercially reasonable administrative, technical, and organizational measures intended to protect Workspace functionality and information stored through the service.
No online service, cloud platform, software application, transmission method, or storage system can be guaranteed completely secure.
Subscribers remain responsible for:
- Protecting account credentials;
- Securing their own devices;
- Maintaining secure email access;
- Using appropriate passwords;
- Restricting unauthorized business access;
- Maintaining independent copies of important business information where appropriate; and
- Promptly reporting suspected unauthorized access.
18. Workspace Availability
Subscription Software may be temporarily unavailable because of:
- Maintenance;
- Software updates;
- Security work;
- Hosting outages;
- Cloud-provider failures;
- Internet failures;
- Third-party service interruptions;
- Emergency repairs;
- Legal requirements; or
- Other circumstances outside Cruise Maniac's reasonable control.
Cruise Maniac will use commercially reasonable efforts to maintain the service but does not guarantee uninterrupted or error-free availability.
19. Software and Feature Updates
Cruise Maniac may modify, update, improve, reorganize, replace, or retire Subscription Software features where reasonably necessary to:
- Improve functionality;
- Improve security;
- Improve accessibility;
- Correct errors;
- Improve usability;
- Respond to changed technology;
- Respond to provider changes;
- Address legal requirements;
- Maintain sustainable operations; or
- Improve the Operating Intelligence service.
Cruise Maniac is not required to develop or maintain any particular future feature unless expressly agreed in writing.
20. Downloaded Materials
Certain Subscriber Materials may be downloaded during an active Subscription Period.
A Subscriber may retain properly downloaded materials after the Subscription Period ends, but continued possession does not create ownership or unrestricted use rights.
After cancellation or expiration, the Subscriber remains bound by applicable restrictions concerning:
- Redistribution;
- Public posting;
- Resale;
- Sublicensing;
- Competitive commercial use;
- AI training;
- Intellectual-property ownership;
- Confidentiality; and
- Unauthorized derivative products.
21. Subscriber Records After Cancellation
When an Intelligence Workspace subscription ends, access to online Workspace functionality and Subscriber Records stored through that Workspace may end after the applicable paid Subscription Period.
Subscribers are responsible for retaining copies of their own business records that they reasonably require after subscription termination where applicable export, copying, or retention functionality is available.
Cruise Maniac does not promise indefinite hosting or retrieval of Subscriber Records after cancellation.
Certain data may remain temporarily in backups or may be retained for security, legal, transaction, fraud-prevention, operational, or other legitimate purposes described in the Privacy Policy.
22. No Artificial File Hostage-Taking
Cruise Maniac does not intend subscription cancellation to function as an artificial means of taking ownership of a Subscriber's independent business records.
Ordinary Subscriber-created business records remain the Subscriber's business records, subject to applicable data-retention and technical limitations.
This section does not grant a Subscriber continuing access to Cruise Maniac proprietary software, databases, subscriber libraries, proprietary templates, decision frameworks, or other protected intellectual property after paid access ends.
23. No Professional Advice
Operating Intelligence provides general professional business information, research, operating frameworks, decision-support resources, implementation tools, and software functionality.
It does not provide individualized:
- Legal advice;
- Tax advice;
- Accounting advice;
- Financial advice;
- Investment advice;
- Insurance advice;
- Employment advice;
- Privacy advice;
- Regulatory advice;
- Supplier representation;
- Host-agency representation;
- Travel booking advice for a particular traveler; or
- Other professional advice requiring qualifications Cruise Maniac does not hold.
Subscribers remain responsible for obtaining qualified professional advice where appropriate.
24. Independent Professional Judgment
Cruise Maniac resources are intended to support—not replace—the Subscriber's independent professional judgment.
Cruise Maniac materials do not override:
- Applicable law;
- Official government guidance;
- Binding contracts;
- Supplier terms;
- Host-agency agreements;
- Consortium requirements;
- Payment-processor requirements;
- Insurance requirements;
- Professional obligations; or
- Advice from qualified professional advisors.
When a decision is consequential, time-sensitive, contractual, legal, financial, regulatory, privacy-related, or client-specific, the Subscriber is responsible for confirming the appropriate authoritative source.
25. No Guaranteed Results
Cruise Maniac does not guarantee that use of Operating Intelligence will result in:
- More bookings;
- More clients;
- Increased revenue;
- Increased profitability;
- Lower expenses;
- Recovered time;
- Reduced liability;
- Successful implementation;
- Regulatory compliance;
- Successful business decisions;
- Avoidance of business losses; or
- Any particular professional or commercial outcome.
Results depend on factors outside Cruise Maniac's control, including the Subscriber's implementation, judgment, existing operations, market conditions, supplier conduct, client circumstances, contracts, technology, and applicable law.
26. Third-Party Technology
Operating Intelligence may rely on third-party technologies and service providers for:
- Website hosting;
- Cloud infrastructure;
- Checkout;
- Payment processing;
- Membership and access control;
- Authentication;
- Email delivery;
- Analytics;
- Security;
- Backups;
- File delivery;
- Database functionality;
- Software functionality; and
- Other services reasonably necessary to operate Operating Intelligence.
Cruise Maniac does not control the independent availability, security, policies, interruptions, functionality, or operations of third-party providers.
27. Support Boundaries
Cruise Maniac may provide reasonable account and technical support for issues concerning:
- Subscription access;
- Customer accounts;
- Library access;
- Workspace access;
- Downloads;
- Saved-record functionality;
- Software errors;
- Subscription administration;
- Billing access issues; and
- Other technical matters involving Cruise Maniac-provided functionality.
Technical support does not include:
- Personalized business consulting;
- Legal review;
- Tax advice;
- Accounting advice;
- Individual traveler analysis;
- Supplier dispute representation;
- Host-agency dispute representation;
- Done-for-you implementation;
- Custom software development; or
- Individualized professional services not expressly included in the subscription.
28. Suspension of Licensed Use
Cruise Maniac may suspend or restrict access to Subscriber Materials or Subscription Software when reasonably necessary because of:
- Nonpayment;
- Failed payment;
- Chargeback;
- Fraud;
- Unauthorized account sharing;
- Unauthorized distribution;
- Intellectual-property misuse;
- Attempts to bypass technical protections;
- Unauthorized software access;
- Security threats;
- Unlawful activity;
- Material breach of this EUSL; or
- Conduct creating material legal or operational risk.
When reasonably appropriate, Cruise Maniac may provide notice and an opportunity to correct a violation.
Immediate suspension may occur when reasonably necessary to protect the service, Cruise Maniac intellectual property, other Subscribers, systems, providers, or third parties.
29. Termination of License Rights
Online subscription-license rights end when:
- The applicable paid Subscription Period ends after cancellation;
- The subscription is terminated for nonpayment;
- The subscription is lawfully terminated for material breach;
- The subscriber account is closed according to applicable terms; or
- Another lawful basis for termination applies.
Termination ends the right to continue accessing subscriber-only online resources and Subscription Software unless another active right of access exists.
30. Effect of Termination
When subscription-license rights terminate:
- Intelligence Library access may end;
- Intelligence Workspace access may end;
- Subscription Software access may end;
- Protected online downloads may become unavailable;
- Future subscriber releases may become unavailable;
- Online Subscriber Records may become inaccessible;
- The Subscriber must stop representing that an inactive subscription remains active; and
- Continuing intellectual-property restrictions remain in effect.
Cancellation or termination does not authorize public or commercial redistribution of materials downloaded during an active subscription.
31. Survival of Intellectual-Property Restrictions
Provisions concerning:
- Ownership;
- Redistribution;
- Resale;
- Competitive commercial use;
- AI training;
- Reverse engineering;
- Confidentiality;
- Downloaded materials;
- Limitations of liability;
- Indemnification; and
- Other provisions that by their nature should survive
continue after cancellation or termination.
32. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SUBSCRIBER MATERIALS, SUBSCRIPTION SOFTWARE, AND RELATED SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.
EXCEPT FOR RIGHTS OR WARRANTIES THAT CANNOT LAWFULLY BE DISCLAIMED, CRUISE MANIAC DOES NOT WARRANT THAT:
- Every Subscriber Material will apply to every Subscriber;
- Every source will remain current after publication;
- Every calculation or decision tool will be appropriate for every factual situation;
- Subscription Software will always operate without interruption;
- Third-party services will always remain available;
- Subscriber Records will never be affected by a technical failure;
- Use of the service will establish legal or regulatory compliance; or
- Use of the service will produce a particular business result.
33. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CRUISE MANIAC LLC AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING FROM OR RELATING TO SUBSCRIBER MATERIALS, SUBSCRIPTION SOFTWARE, OR THE USE OF OPERATING INTELLIGENCE.
THIS MAY INCLUDE, TO THE EXTENT PERMITTED BY LAW:
- Lost profits;
- Lost revenue;
- Lost business opportunities;
- Lost client relationships;
- Lost or unavailable data;
- Business interruption;
- Reputational loss;
- Supplier disputes;
- Client claims; or
- Costs of substitute products or services.
To the maximum extent permitted by applicable law, Cruise Maniac's aggregate liability arising from the Subscriber's use of Operating Intelligence will not exceed the amount actually paid by the Subscriber to Cruise Maniac for the applicable subscription during the three (3) months immediately preceding the event giving rise to the claim.
Nothing in this EUSL excludes or limits liability that cannot lawfully be excluded or limited.
34. Indemnification
To the extent permitted by applicable law, the Subscriber agrees to defend, indemnify, and hold harmless Cruise Maniac LLC and its owners, officers, employees, contractors, and affiliates from third-party claims, liabilities, damages, judgments, losses, costs, and reasonable expenses arising from:
- The Subscriber's unlawful use of Operating Intelligence;
- The Subscriber's material breach of this EUSL;
- Unauthorized distribution of Subscriber Materials;
- Unauthorized access provided through the Subscriber's account;
- The Subscriber's misuse of Cruise Maniac intellectual property;
- Information submitted without appropriate authority;
- The Subscriber's business decisions or professional conduct;
- The Subscriber's representations to clients or third parties; or
- The Subscriber's infringement or violation of third-party rights.
This provision does not require indemnification for liability that cannot lawfully be shifted to the Subscriber.
35. Privacy
Personal information, account information, subscription information, Subscriber Records, and other information processed through Operating Intelligence are handled according to the Cruise Maniac Privacy Policy and applicable law.
Nothing in this EUSL expands Cruise Maniac's rights to process personal information beyond the rights reasonably necessary to provide the service, enforce applicable agreements, maintain security, comply with law, and perform other processing described in the Privacy Policy.
36. Relationship to Subscription Terms
This EUSL primarily governs:
- Licensed use of Subscriber Materials;
- Licensed use of Subscription Software;
- Intellectual-property ownership;
- Permitted and prohibited use;
- AI restrictions;
- Subscriber Records;
- Downloaded materials;
- Software restrictions; and
- Post-termination use rights.
The Cruise Maniac Operating Intelligence Subscription Terms and Conditions primarily govern:
- Recurring billing;
- Automatic renewal;
- Pricing;
- Cancellation;
- Failed payments;
- Refunds;
- Subscription administration; and
- Access periods.
Both agreements apply to an Operating Intelligence subscription.
37. Electronic Acceptance
The parties agree that this EUSL may be accepted electronically.
Electronic acceptance may include:
- Selecting an agreement checkbox;
- Completing checkout after this EUSL is presented or incorporated;
- Activating subscriber access;
- Accessing protected Subscriber Materials after acceptance; or
- Otherwise electronically indicating assent where permitted by law.
Cruise Maniac may maintain electronic records of acceptance, access, transactions, downloads, account activity, and related subscription information.
38. Changes to This EUSL
Cruise Maniac may update this EUSL prospectively to reflect changes in:
- Operating Intelligence;
- Subscription Software;
- Subscriber Materials;
- Technology;
- Security;
- Intellectual-property protections;
- Data practices;
- Third-party providers;
- Business operations; or
- Applicable legal requirements.
Material changes affecting an existing subscription will be communicated as required by applicable law and applicable subscription procedures.
The "Last Updated" date identifies the current published version.
39. Governing Law
This EUSL is governed by the laws of the State of Texas, without regard to conflict-of-law principles, except to the extent another law must apply and cannot lawfully be waived.
Any dispute concerning this EUSL will be brought in a court having appropriate jurisdiction unless applicable law requires otherwise or the parties separately agree to another lawful dispute-resolution method.
40. Severability
If any provision of this EUSL is determined to be invalid, unlawful, or unenforceable, that provision will be enforced to the maximum extent permitted by law or severed as necessary, and the remaining provisions will continue in effect.
41. Waiver
Failure by Cruise Maniac to enforce a provision of this EUSL does not waive the right to enforce that provision or another provision later.
A waiver is effective only when made in writing by an authorized representative of Cruise Maniac LLC.
42. Assignment
The Subscriber may not assign or transfer this EUSL, an individual subscription license, or protected subscription access without Cruise Maniac's prior written authorization.
Cruise Maniac may assign this EUSL in connection with a merger, acquisition, financing, reorganization, sale of assets, transfer of the business, or similar transaction, subject to applicable law.
43. Entire Agreement and Related Terms
This EUSL works together with:
- The Cruise Maniac Operating Intelligence Subscription Terms and Conditions;
- The Website Terms & Conditions;
- The Privacy Policy;
- Applicable checkout disclosures; and
- Any separately agreed written product-specific terms.
If a direct conflict exists concerning intellectual-property or software-use rights, this EUSL generally controls the product-specific licensing issue.
If a direct conflict exists concerning billing, renewal, cancellation, or payment administration, the applicable Subscription Terms and checkout disclosures generally control that issue.
The Privacy Policy controls Cruise Maniac's handling of personal information and privacy rights.
44. No Waiver of Non-Waivable Rights
Nothing in this EUSL is intended to waive, restrict, or eliminate any right, remedy, or legal protection that cannot lawfully be waived or limited.
