CRUISE MANIAC OPERATING INTELLIGENCE SUBSCRIPTION TERMS AND CONDITIONS

These Cruise Maniac Operating Intelligence Subscription Terms and Conditions ("Subscription Terms") govern recurring subscriptions to Cruise Maniac Operating Intelligence offered by Cruise Maniac LLC, a Texas limited liability company ("Cruise Maniac," "we," "us," or "our").
These Subscription Terms apply to the individual or business purchasing or maintaining an applicable Cruise Maniac Operating Intelligence subscription ("Subscriber," "you," or "your").
By completing a subscription purchase, selecting an applicable agreement checkbox, authorizing recurring billing, accessing subscriber content or software, or otherwise using a Cruise Maniac Operating Intelligence subscription, you acknowledge that you have read, understood, and agreed to these Subscription Terms.
1. Cruise Maniac Operating Intelligence
Cruise Maniac Operating Intelligence is a recurring professional business-information and decision-support service developed primarily for professional travel advisors.
The service is intended to help subscribers identify, evaluate, document, and respond to developments that may affect the operation of a professional travel-advisory business.
Depending on the subscribed plan, Operating Intelligence may include:
- Operating-intelligence releases;
- Executive operating briefs;
- Evidence and source ledgers;
- Decision workbooks;
- Operating standards;
- Scripts and templates;
- Implementation resources;
- Protected digital downloads;
- Interactive decision tools;
- Private saved working records;
- Guided operating workflows;
- Implementation tracking;
- Deadline tracking;
- Persistent software-workspace functionality;
- Corrections, revisions, or replacement resources; and
- Other subscriber resources Cruise Maniac may introduce.
2. Current Subscription Plans
Cruise Maniac currently offers Operating Intelligence through subscription plans that include:
Intelligence Library
The Intelligence Library provides protected access to recurring operating-intelligence resources and downloadable subscriber materials.
Library resources may include:
- Monthly operating-intelligence releases;
- Executive operating briefs;
- Evidence and source ledgers;
- Decision workbooks;
- Operating standards;
- Scripts;
- Templates;
- Implementation resources; and
- Protected monthly downloads.
Intelligence Workspace
The Intelligence Workspace includes access to the Intelligence Library plus interactive software functionality.
Workspace functionality may include:
- Interactive decision tools;
- Private saved working records;
- Guided operating workflows;
- Implementation tracking;
- Deadline tracking;
- Persistent subscriber-workspace functionality; and
- Other interactive features introduced by Cruise Maniac.
The exact features included with each plan are determined by the applicable product page and checkout at the time of subscription.
3. Professional and Business Eligibility
Operating Intelligence subscriptions are intended for legitimate professional and business use.
By subscribing, you represent that:
- You are at least eighteen (18) years old;
- You are legally capable of entering a binding agreement;
- You are subscribing for legitimate professional or business purposes;
- Information supplied during checkout is accurate and complete;
- You are authorized to use the payment method provided; and
- If subscribing on behalf of a business, you have authority to bind that business where applicable.
4. Subscription Purchase and Acceptance
A subscription begins when:
- The applicable subscription order is successfully completed;
- The initial payment is successfully authorized or otherwise approved; and
- Subscriber access is activated or made available.
Cruise Maniac may maintain electronic records of subscription acceptance, checkout disclosures, billing authorization, payments, access, downloads, cancellations, and related subscription activity.
5. Subscription Price
The subscription price governing your enrollment is the price displayed on the applicable product page and checkout when you complete the subscription.
Cruise Maniac may offer:
- Standard subscription pricing;
- Founding rates;
- Introductory rates;
- Promotional rates;
- Coupon codes;
- Limited enrollment offers; or
- Other prospective pricing arrangements.
Promotional pricing applies only according to the stated terms of the offer and does not create a right to the same pricing after the promotional period ends or after a canceled subscription is later restarted.
6. Recurring Billing Authorization
Operating Intelligence plans are recurring subscriptions.
By completing a subscription purchase, you expressly authorize Cruise Maniac and its authorized payment processor to charge the payment method associated with your account for the recurring subscription amount disclosed at checkout, together with applicable taxes, until the subscription is canceled or otherwise terminated.
The applicable billing interval is displayed before purchase.
Unless otherwise stated in the applicable offer, a monthly subscription renews automatically each month until canceled.
Each successful recurring charge begins the next paid subscription period.
7. Promotional and Founding Pricing
Cruise Maniac may offer limited founding or promotional subscription rates.
If a promotional rate applies only for a specified number of paid billing periods, the subscription will transition to the then-applicable standard rate identified in the applicable offer after the promotional period ends, unless the subscription is canceled before the applicable renewal.
A founding or promotional rate:
- Is not a lifetime price unless expressly stated in writing;
- Does not guarantee eligibility after cancellation;
- Does not guarantee the same rate if a subscriber later resubscribes;
- May be limited by time, enrollment quantity, or promotional code; and
- May be subject to additional conditions disclosed with the offer.
8. Automatic Renewal
Unless expressly stated otherwise, each Operating Intelligence subscription automatically renews at the end of each paid billing period until canceled.
Renewal charges will be made using the authorized payment method associated with the subscriber account.
Subscribers are responsible for reviewing the recurring billing amount, billing interval, promotional terms, and cancellation process before completing checkout.
Cruise Maniac will not intentionally conceal the recurring nature of an Operating Intelligence subscription or require the Subscriber to purchase a new subscription manually each month when automatic renewal has been authorized.
9. How to Cancel
Subscribers may cancel an Operating Intelligence subscription before the next renewal through the subscription-management functionality available through their Cruise Maniac customer account or through another cancellation method Cruise Maniac makes reasonably available.
Where applicable technology permits, subscribers who enroll online will be provided a reasonably accessible online method for managing or canceling their subscription.
A cancellation request must be completed before the next scheduled renewal charge in order to prevent that renewal.
Merely ceasing to use the service, deleting downloaded files, failing to log in, or ignoring subscription communications does not cancel a subscription.

10. Effect of Cancellation
Cancellation stops future renewal charges after the effective cancellation date.
Unless the applicable checkout terms state otherwise, canceling a subscription does not ordinarily terminate access immediately.
A subscriber who has paid for the current billing period may generally continue to use the applicable subscription service through the end of that paid period, unless access is terminated earlier because of:
- Fraud;
- Chargeback or payment reversal;
- Account sharing;
- Unauthorized access;
- Intellectual-property misuse;
- Security threats;
- Unlawful activity;
- Material breach of applicable agreements; or
- Another lawful basis for immediate suspension or termination.
At the end of the paid subscription period, subscriber-only online access may end.
11. Refund Policy
Except where applicable law requires otherwise, subscription payments are non-refundable after the applicable subscription period has begun and subscriber access or digital materials have been made available.
Cruise Maniac does not ordinarily provide:
- Prorated refunds for unused days;
- Refunds because the Subscriber did not use the service;
- Refunds because the Subscriber did not download available materials;
- Refunds because the Subscriber did not implement available resources;
- Credits for unused subscription periods;
- Refunds because the Subscriber changes their mind after access is provided; or
- Refunds because a desired business result was not achieved.
Nothing in these Subscription Terms limits any refund, cancellation right, remedy, or other protection that cannot lawfully be waived.
12. Failed Payments
Subscribers are responsible for maintaining a valid payment method while a subscription remains active.
If a recurring payment cannot be processed, Cruise Maniac or its authorized payment processor may make reasonable additional attempts to process the payment.
During an unpaid or past-due period, Cruise Maniac may:
- Restrict subscriber access;
- Suspend Intelligence Library access;
- Suspend Intelligence Workspace access;
- Disable protected downloads;
- Restrict software functionality;
- Delay access to new subscriber releases; or
- Terminate the subscription after reasonable payment-recovery efforts.
Cruise Maniac is not obligated to provide continuing subscription benefits while required subscription payments remain unpaid.
Access may be restored if payment is successfully recovered before termination, subject to then-current account and technical procedures.
13. Chargebacks and Payment Disputes
A payment dispute or chargeback does not create a right to continue receiving subscription services without payment.
Cruise Maniac may temporarily suspend subscription access while a disputed transaction is being investigated.
Cruise Maniac reserves the right to provide transaction, checkout, acceptance, access, download, billing, account, and communication records to an authorized payment processor, financial institution, or dispute service when reasonably necessary to respond to a payment dispute.
Cruise Maniac reserves all lawful rights concerning fraudulent or abusive chargebacks.
14. Plan Changes
Cruise Maniac may permit Subscribers to change from one Operating Intelligence plan to another.
Any available upgrade, downgrade, proration, credit, billing-date change, or feature-access treatment will be determined by:
- The subscription-management system;
- The checkout or account interface;
- The terms displayed when the plan change is requested; and
- Applicable law.
A Subscriber should review the price and effective date of a proposed plan change before confirming it.
15. Subscriber Access
Each individual subscription is licensed to the authorized subscriber associated with the applicable account unless Cruise Maniac expressly provides multi-user rights in a separate written agreement.
Individual subscriptions may not be:
- Shared with another travel advisor;
- Shared with another business;
- Used as an agency-wide subscription;
- Transferred;
- Assigned;
- Resold;
- Sublicensed;
- Rented;
- Leased; or
- Used by multiple individuals through one subscriber account.
Each person requiring individual access must maintain the applicable authorized subscription unless Cruise Maniac expressly offers another license structure.
16. Subscriber Materials
Subscriber materials may include:
- Operating-intelligence releases;
- Executive briefs;
- Evidence and source ledgers;
- Decision workbooks;
- Operating standards;
- Decision frameworks;
- Implementation resources;
- Scripts;
- Templates;
- Worksheets;
- Checklists;
- Downloadable documents;
- Interactive tools;
- Software functionality;
- Corrections;
- Updates;
- Subscriber notices; and
- Other proprietary subscriber resources.
Cruise Maniac may improve, revise, replace, reorganize, correct, expand, or retire individual subscriber resources as the service evolves.
17. Release Schedule and Content Availability
Cruise Maniac intends Operating Intelligence to function as a recurring operating-update service.
The timing, volume, format, subject matter, and number of individual items in a release may vary based on:
- Material industry developments;
- Source availability;
- Verification requirements;
- Editorial judgment;
- Corrections;
- Technology changes;
- Security issues;
- Legal developments; and
- Other legitimate operational factors.
Cruise Maniac is not required to manufacture content merely to create a fixed number of industry changes when reliable or material developments do not support doing so.
18. Corrections and Revisions
Operating Intelligence is designed to address changing information, business practices, technology, policies, and operating conditions.
Cruise Maniac may correct, supplement, revise, replace, or withdraw subscriber material when:
- A source changes;
- New information becomes available;
- A factual error is discovered;
- Additional verification changes the analysis;
- An official source supersedes prior information;
- A technical error is identified; or
- A revision is reasonably necessary to improve accuracy or usability.
Subscribers should use the most current available version when making consequential business decisions.
19. Sources and Verification
Cruise Maniac may use official sources, supplier materials, host-agency materials, technology-provider information, industry publications, public records, professional resources, or other sources when preparing Operating Intelligence.
Source information may change after publication.
A Cruise Maniac interpretation does not replace the underlying authoritative source.
Subscribers remain responsible for confirming consequential matters with the applicable official source, governing contract, provider, supplier, host agency, qualified professional, or other appropriate authority before acting where verification is necessary.
20. Intelligence Workspace Records
Intelligence Workspace Subscribers may be able to create private saved working records, decision records, implementation notes, assignments, deadlines, status records, and other business working information.
Subscribers remain responsible for determining what information is appropriate to enter into the Workspace.
Subscribers should not use the Workspace as a repository for unnecessary sensitive information, including:
- Complete payment-card information;
- Passwords;
- Social Security numbers;
- Passport numbers or images;
- Government identification documents;
- Medical information;
- Unnecessary traveler-sensitive information; or
- Other highly sensitive information unrelated to the intended operating purpose.
Workspace records may be processed as reasonably necessary to provide, maintain, secure, back up, troubleshoot, and administer the Workspace, subject to the Cruise Maniac Privacy Policy.
21. Workspace Records After Cancellation
When an Intelligence Workspace subscription ends, access to the persistent online Workspace and its software functionality may end at the conclusion of the Subscriber's paid access period.
Subscribers are responsible for retaining copies of their own business information that they reasonably need after subscription access ends where export, copying, or retention functionality is available.
Cruise Maniac does not promise indefinite post-cancellation hosting of subscriber-created Workspace records.
Cruise Maniac may retain certain account, subscription, backup, security, transaction, or Workspace records for legitimate operational or legal purposes as described in the Privacy Policy.
Cancellation does not transfer ownership of Cruise Maniac proprietary software, tools, methodologies, templates, or subscriber materials to the Subscriber.
22. Downloaded Materials After Cancellation
Digital materials properly downloaded during an active subscription cannot necessarily be technically recalled from a subscriber's device after cancellation.
However, cancellation does not convert Cruise Maniac intellectual property into unrestricted property of the Subscriber.
Restrictions concerning copying, resale, redistribution, publication, sublicensing, public sharing, competitive use, and intellectual-property ownership continue after cancellation.
A former Subscriber may retain ordinary business records lawfully created through authorized use of the service, provided those records do not reproduce or redistribute Cruise Maniac proprietary materials beyond the rights granted under the applicable subscription license.
23. Intellectual Property
Cruise Maniac retains all right, title, and interest in its Operating Intelligence service, subscriber materials, software, methodologies, content, interfaces, decision logic, operating frameworks, documentation, downloads, branding, and other proprietary materials.
Subscription payments purchase access and limited use rights only.
No intellectual-property ownership is transferred to the Subscriber.
Detailed permitted-use and prohibited-use rules are contained in the applicable Cruise Maniac Operating Intelligence End User Subscription License.
24. No Personalized Professional Advice
Cruise Maniac Operating Intelligence provides business-information, operating-intelligence, research, decision-support, implementation, and software resources.
It does not provide individualized:
- Legal advice;
- Tax advice;
- Accounting advice;
- Financial advice;
- Insurance advice;
- Employment advice;
- Regulatory advice;
- Privacy advice;
- Travel booking advice for individual clients;
- Supplier representation;
- Host-agency representation; or
- Professional services requiring a license Cruise Maniac does not hold.
Subscribers remain responsible for consulting appropriately qualified professionals when a matter requires specialized advice.
25. No Guaranteed Results
Cruise Maniac does not guarantee that an Operating Intelligence subscription will produce:
- Additional bookings;
- Additional clients;
- Increased revenue;
- Increased profitability;
- Lower costs;
- Reduced liability;
- Regulatory compliance;
- Successful implementation;
- Improved client outcomes; or
- Any particular business or financial result.
Business outcomes depend on factors outside Cruise Maniac's control, including the Subscriber's implementation, professional judgment, existing operations, market conditions, supplier performance, client circumstances, technology, contracts, and applicable law.
26. Third-Party Services
Operation of Cruise Maniac Operating Intelligence may rely on third-party technology and service providers.
These providers may include services supporting:
- Website hosting;
- Cloud infrastructure;
- Checkout;
- Payment processing;
- Membership and access control;
- Email delivery;
- Analytics;
- Security;
- Backup services;
- Fraud prevention;
- Tax calculation;
- File delivery;
- Software functionality; and
- Other technology reasonably necessary to operate the service.
Cruise Maniac does not control the independent availability, policies, security, pricing, operations, interruptions, or conduct of third-party providers.
27. Service Changes
Cruise Maniac may prospectively modify Operating Intelligence features, formats, interfaces, organization, technology, or delivery methods where reasonably necessary to:
- Improve the service;
- Improve accuracy;
- Improve security;
- Improve accessibility;
- Correct errors;
- Respond to changed technology;
- Respond to changed third-party services;
- Address legal requirements;
- Improve subscriber usability; or
- Maintain sustainable service operations.
Cruise Maniac does not guarantee that every individual feature, resource, format, or interface will remain unchanged indefinitely.
28. Material Price Changes
Cruise Maniac may change subscription pricing prospectively.
A material change to the recurring amount charged to an existing Subscriber will be communicated as required by applicable law and applicable subscription procedures before the changed charge takes effect.
A Subscriber who does not wish to continue at an applicable new recurring rate may cancel before the changed rate becomes effective.
This section does not prevent an expressly disclosed promotional or founding rate from automatically transitioning to the previously disclosed standard rate at the end of the stated promotional period.
29. Suspension and Termination by Cruise Maniac
Cruise Maniac may suspend, restrict, or terminate a subscription for:
- Nonpayment;
- Fraud;
- Fraudulent chargebacks;
- Unauthorized account sharing;
- Unauthorized redistribution of subscriber materials;
- Intellectual-property misuse;
- Attempts to bypass access controls;
- Security threats;
- Unlawful conduct;
- Material breach of these Subscription Terms;
- Material breach of the applicable End User Subscription License; or
- Conduct creating a material legal, security, or operational risk.
When reasonably appropriate, Cruise Maniac may provide notice or an opportunity to correct a violation before termination.
Immediate suspension or termination may occur when reasonably necessary to protect Cruise Maniac, other subscribers, its intellectual property, service providers, systems, or third parties.
30. Discontinuation of a Subscription Service
Cruise Maniac may discontinue an Operating Intelligence plan or the Operating Intelligence service prospectively if continued operation becomes commercially, technically, legally, or operationally impracticable.
If Cruise Maniac terminates a paid subscription service before the end of a period for which a Subscriber has already paid, and the termination is not caused by the Subscriber's breach, Cruise Maniac will provide any refund, credit, continued access, or other remedy required by applicable law and may provide an additional reasonable remedy at its discretion.
31. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OPERATING INTELLIGENCE AND ITS SUBSCRIBER SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.
EXCEPT FOR RIGHTS OR WARRANTIES THAT CANNOT LAWFULLY BE DISCLAIMED, CRUISE MANIAC DOES NOT WARRANT THAT:
- Every source will remain current after publication;
- Every third-party service will remain available;
- Every release will address every development affecting every advisor;
- The service will always be uninterrupted or error-free;
- Every decision tool will apply to every circumstance;
- Use of the service will establish legal or contractual compliance; or
- Use of the service will result in any particular commercial outcome.
32. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CRUISE MANIAC LLC AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING FROM OR RELATING TO AN OPERATING INTELLIGENCE SUBSCRIPTION.
THIS MAY INCLUDE, TO THE EXTENT PERMITTED BY LAW:
- Lost profits;
- Lost revenue;
- Lost business opportunities;
- Lost client relationships;
- Lost data;
- Business interruption;
- Reputational loss;
- Supplier disputes;
- Client claims; or
- Costs of substitute products or services.
To the maximum extent permitted by applicable law, Cruise Maniac's aggregate liability arising from an Operating Intelligence subscription will not exceed the amount actually paid by the Subscriber to Cruise Maniac for the subscription during the three (3) months immediately preceding the event giving rise to the claim.
Nothing in these Subscription Terms limits liability that cannot lawfully be excluded or limited.
33. Indemnification
To the extent permitted by applicable law, the Subscriber agrees to defend, indemnify, and hold harmless Cruise Maniac LLC and its owners, officers, employees, contractors, and affiliates from third-party claims, liabilities, damages, judgments, losses, costs, and reasonable expenses arising from:
- The Subscriber's unlawful use of Operating Intelligence;
- The Subscriber's material breach of these Subscription Terms;
- The Subscriber's breach of the End User Subscription License;
- Unauthorized sharing of subscriber access or materials;
- The Subscriber's representations to clients or third parties;
- The Subscriber's professional or business decisions;
- Information submitted without appropriate authority; or
- The Subscriber's violation of third-party rights.
This provision does not require indemnification for liability that cannot lawfully be shifted to the Subscriber.
34. Privacy and Data Practices
Personal information associated with subscription accounts, payments, access, Workspace use, support, and security is handled according to the Cruise Maniac Privacy Policy and applicable law.
Subscribers remain responsible for information they independently enter into subscriber tools or Workspace records.
35. Electronic Communications
Subscribers consent to receive electronic communications reasonably necessary to administer their subscription, including communications concerning:
- Payments;
- Renewals;
- Failed payments;
- Account access;
- Subscription changes;
- Security;
- Service availability;
- Material price changes;
- Cancellation;
- Product updates;
- Support; and
- Legal or contractual notices where electronic delivery is permitted.
Transactional and service communications are separate from optional marketing communications.
36. Changes to These Subscription Terms
Cruise Maniac may update these Subscription Terms prospectively to reflect changes in:
- Operating Intelligence;
- Subscription plans;
- Software functionality;
- Billing practices;
- Technology;
- Security;
- Third-party providers;
- Business operations; or
- Applicable legal requirements.
Material changes affecting an existing subscription will be communicated as required by applicable law.
The "Last Updated" date identifies the current published version.
37. Governing Law
These Subscription Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles, except to the extent another law must apply and cannot lawfully be waived.
Any dispute concerning these Subscription Terms will be brought in a court having appropriate jurisdiction unless applicable law requires otherwise or the parties separately agree to another lawful dispute-resolution method.
38. Severability
If any provision of these Subscription Terms is determined to be invalid, unlawful, or unenforceable, that provision will be enforced to the maximum extent permitted by law or severed as necessary, and the remaining provisions will remain in effect.
39. Waiver
Failure by Cruise Maniac to enforce a provision of these Subscription Terms does not waive the right to enforce that provision or another provision later.
A waiver is effective only when made in writing by an authorized representative of Cruise Maniac LLC.
40. Assignment
A Subscriber may not assign or transfer an individual subscription or these Subscription Terms without Cruise Maniac's prior written authorization.
Cruise Maniac may assign these Subscription Terms in connection with a merger, acquisition, financing, reorganization, sale of assets, transfer of the business, or similar transaction, subject to applicable law.
41. Relationship to Other Cruise Maniac Terms
These Subscription Terms work together with:
- The Cruise Maniac Operating Intelligence End User Subscription License;
- The Website Terms & Conditions;
- The Privacy Policy;
- Applicable checkout disclosures; and
- Any separately agreed written product-specific terms.
These Subscription Terms primarily govern the commercial subscription relationship, including billing, renewal, cancellation, payment, access, and subscription administration.
The Operating Intelligence End User Subscription License primarily governs authorized use of subscriber materials, software, intellectual property, downloads, and Workspace functionality.
If a direct conflict exists concerning a specific matter, the more specific applicable product term governs that matter, subject to applicable law.
42. Survival
Provisions concerning payment obligations, intellectual property, downloaded materials, confidentiality, limitations of liability, indemnification, governing law, and other provisions that by their nature should continue will survive cancellation or termination.
